Item 8.01 Other Events
On September 3, 2015, Kaplan, Inc., a subsidiary of Graham Holdings Company, completed the previously announced sale of substantially all of the assets of its Kaplan Higher Education (KHE) Campuses business to Education Corporation of America (ECA), consisting of 38 nationally accredited ground campuses and certain related assets, in exchange for a preferred equity interest in ECA. The transaction does not include the sale of the KHE division’s Kaplan University.
